Service scopes may vary based on your plan, agreement, or custom contract.

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information during onboarding.

  • Supply necessary content, access credentials, or instructions for us to perform the Services.

  • Use our Services in compliance with applicable laws, including GDPR (UK/EU), CCPA (US), and data protection regulations.

  • Not misuse, resell, or exploit our technology without written permission.

You are responsible for maintaining the security of your accounts, passwords, and data.

4. Data and Privacy

Our use of personal data is governed by our Privacy Policy.

You acknowledge that:

  • Data processed by chatbots and automations belongs to you, the client.

  • We act as a data processor where applicable (e.g., under UK GDPR or EU GDPR).

  • You are responsible for ensuring lawful data collection from your users.

We may retain anonymized or aggregated data to improve service performance.

5. AI Usage and Limitations

Our chatbots and automations:

  • May generate responses based on machine learning algorithms.

  • May produce inaccurate or incomplete information.

  • Should not be used for legal, medical, or financial advice unless explicitly designed for such and compliance-approved.

You agree not to use AI outputs as sole reliance for decisions that could cause harm.

6. Payments and Billing

Unless otherwise agreed in writing:

  • Payment is due upfront or on the billing schedule outlined in your invoice or subscription.

  • Late payments may result in service suspension.

  • All fees are non-refundable unless explicitly stated.

Subscription services renew automatically unless cancelled.

7. Intellectual Property

We retain all intellectual property rights to:

  • Software, chatbot frameworks, automations

  • Scripts, templates, and system designs

  • Branding, logos, and proprietary technology

You receive a license to use the delivered Services for your business purposes but do not own the underlying systems unless stated in writing.

8. Client Content

You grant us a limited, non-exclusive license to use any content you provide (text, media, instructions, brand assets) solely for delivering the Services.

You confirm that:

  • You have rights to the content you provide

  • Your content does not violate intellectual property or data protection laws

9. Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any portion of the Services

  • Introduce new features or remove outdated ones

We will provide notice when possible.

10. Third-Party Services

Our Services may integrate with third-party systems such as:

  • CRMs

  • Email platforms

  • Payment processors

  • API-based tools (e.g., OpenAI, Zapier, Make, Go High Level)

We are not responsible for outages, errors, or issues caused by third-party providers.

  • Accuracy of AI-generated content

  • Guaranteed performance or revenue outcomes

You use our Services at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

  • Loss of profits or revenue

  • Loss of data

  • Business interruption

  • Indirect, incidental, or consequential damages

Our total liability is limited to the amount you paid us in the 90 days preceding the claim.

13. Indemnification

You agree to indemnify and hold us harmless from claims arising out of:

  • Misuse of the Services

  • Violation of laws or regulations

  • Your content or data practices

  • Improper use of AI outputs

14. UK/EU Compliance (If Applicable)

For clients in the UK or EU, you agree to:

  • Provide required privacy notices to your users

  • Enter into a Data Processing Agreement (DPA) if necessary

  • Maintain GDPR-compliant consent mechanisms as needed

We will provide a DPA upon request.

15. Termination

We may terminate your access to the Services if:

  • You violate these Terms

  • Payments are overdue

  • Your activities pose legal or security risks

Upon termination:

  • Your license to use the Services ends

  • You must stop using any provided systems or automations

16. Governing Law

These Terms are governed by:

  • United States law, specifically the state in which our LLC is registered

UK/EU clients remain responsible for compliance with their local regulations.

17. Changes to These Terms

We may update these Terms periodically. The updated date will reflect the latest changes.

Continued use of the Services indicates acceptance of the updated Terms.
